By-Laws of the Illinois Mathematics Association of Community Colleges

Article I – Membership

Any person or institution eligible for membership becomes a member upon filling out the membership form and paying dues for the current membership year. The membership year shall start on the date membership fees are paid.

Article II – Duties of Officers

Section 1. The President shall:

  1. preside at all meetings of the Association;
  2. serve as Chairman of the Board of Directors and prepare the agenda for all Board meetings;
  3. act as ex-officio member of all committees;
  4. organize and coordinate the program of the Annual Meeting;
  5. notify members of the Association concerning membership meetings.

Section 2. The President-Elect shall:

  1. be responsible for publicity and public relations;
  2. act as President in the absence of the/a President;
  3. be responsible for confirming appropriate reservations for the next Annual Meeting, setting tentative dates for the meeting two years hence, and announcing these dates at the Annual Meeting;
  4. serve as chair of the Elections Committee;
  5. assume other duties as assigned by the Board of Directors.

Section 3. The Secretary shall:

  1. keep accurate permanent records of the meetings of the Association, and of the Board of Directors;
  2. be responsible for official correspondence of the Association.

Section 4. The Treasurer shall:

  1. be in charge of all financial records and funds of the Association;
  2. be in charge of all receipts and disbursements of the Association, and keep accurate records of the same;
  3. keep an up-to-date mailing list of members and potential members, and provide Secretary with same;
  4. make a financial report at each regular business meeting and an annual report, audited by a supervisory committee, at the Annual Meeting.

Section 5. The Past-President Shall:

  1. serve as a voting member on the Board that immediately follows his or her presidency;
  2. serve on the Constitution and By-laws Committee and keep the official copy of the IMACC Constitution and By-laws;
  3. assume other duties as assigned by the Board of Directors.

Article III – Duties of Board of Directors

Section 1. The Board of Directors shall:

  1. aid the President in carrying out the purposes and obligations of the Association;
  2. approve the places and dates of the meetings;
  3. make decisions concerning the Association when a vote of the entire membership is not required;
  4. appoint members as representatives to affiliated organizations;
  5. install the newly elected directors at the beginning of the board meeting held the day before the Annual Business Meeting or April 30, whichever is earlier.

Article IV – Officer and Board Member Attendance at Board Meetings

The Officers and Board members elected by the membership of IMACC shall attend all meetings of the Board as called by the President. Failure to meet this obligation may result in removal from the elected position by majority vote of the Board.

Article V – Fiscal Year

The fiscal year shall be July 1 – June 30.

Article VI – Amendments to the By-Laws

These By-Laws may be amended by the affirmative vote of a simple majority of the members voting on the amendment. A copy of the proposed amendment(s) shall be mailed to all members with the ballot. The vote shall be conducted by mail.
